Well.ca Inc. ("Well.ca") Affiliate Program Terms and Conditions
As a valued partner in the Well.ca Affiliate Program (the "Program"), we want to be sure that you are aware of the special terms and conditions to which you are subject as an affiliate of Well.ca. Well.ca has established this program for the purposes of: (i) allowing affiliates to advertise and promote products sold by Well.ca on their websites; and (ii) establishing links from affiliates' sites to the Well.ca website for the purpose of allowing users of affiliate sites to purchase products from Well.ca. 1. Joining the Affiliate Program You, (the Affiliate), must submit a completed application form to join the Well.ca Affiliate Program. Submission of your application implies acceptance of the terms set forth below. We will evaluate your application in good faith and notify you of its acceptance or rejection. We may accept or reject your application or terminate your participation in the Program at any time, in our sole discretion. Well.ca expects all affiliates to provide complete, accurate, and truthful registration information. If any of this information changes, the affiliate must immediately update this information. Well.ca has the right to confirm, check, or verify, in its sole determination, the truth and accuracy of any registration information at any time. To join the Program, you must: (a) if you are an individual, be at least 18 years old, and must provide at your expense your own computer equipment and internet access, or (b) if a corporation, partnership, limited liability company or other entity, be in good standing and the person submitting the application must have all required authorization to participate in the Program. You will comply with all applicable local, provincial and federal laws, statutes, orders, ordinances and regulations relating your participation in the Program and the operation of your website, including all advertising and marketing best practices and regulations, and in particular the United States Federal Trade Commission endorsement and testimonial guidelines . You expressly acknowledge that nothing in these Terms and Conditions is intended to be legal advice and you may not rely on it as such. 2. Commission Well.ca will track sales made by customers who purchase products through a link from your site to Well.ca. We will pay you a sales commission on a monthly basis for qualifying purchases in a given month, subject to any applicable withholding or deductions. Earnings will accrue for affiliates with lower commission volumes and will be paid out once thresholds are met. Affiliates based in Canada will be paid monthly once accrued earnings reach or exceed $20 CAD. International affiliates will be paid monthly once accrued earnings reach or exceed $100 CAD. Affiliates will be provided with reports summarizing sales activity through our administration tool. To permit accurate tracking, reporting, and fee accrual, you must ensure that the links between your site and our site are properly formatted. Well.ca reserves the right to withhold sales commissions to affiliates or remove affiliates from the Program that are found to be in violation of any of these policies. Well.ca does not pay commission on gift certificates or on the portions of orders purchased with credits, including but not limited to referral, courtesy and other non-monetary credits. Affiliates will not earn commission on orders that are cancelled or returned by the customer within 60 days of the purchase. In the event that an order is cancelled or returned, the commission that had been earned by the affiliate will be deducted from future earnings. In the event that a customer clicks on numerous affiliate links within the tracking time period, as defined by Well.ca, prior to making an order, the affiliate who initially referred the customer will earn commission on the sale. 3. Policies and Pricing Customers who buy products through this Program will be deemed to be customers of Well.ca. Accordingly, you understand and agree that Well.ca shall be the sole owner of any and all data and information Well.ca and/or its representatives obtain from or in connection with users visiting or transacting business on our site or otherwise transacting business with Well.ca. 4. Order Processing Well.ca will process product orders placed by customers who link from your site to our site in accordance with applicable legal requirements. Well.ca reserves the right to reject orders that do not comply with any reasonable requirements that we periodically may establish. Well.ca will be responsible for all aspects of order processing and fulfillment. 5. Program Participation In participating in the Program, affiliates agree not to engage in any unsuitable activities in connection with its website(s) on which it displays links. Affiliates may not: (i) in any way modify, redirect, suppress, or substitute the operation of any button, link, or other interactive feature of the destination site; (ii) make any orders or subscription requests, or engage in other transactions of any kind on the destination site on behalf of any third party, or authorize, assist, or encourage any other person or entity to do so; (iii) engage in any offline promotional, marketing, or other advertising on behalf of Well.ca or in connection with the destination site without the express written consent of Well.ca. Affiliates shall in no way misrepresent or embellish the relationship between Well.ca and themselves, or express or imply any relationship or affiliation between themselves and Well.ca or any other person or entity except as expressly permitted by these Terms and Conditions. Affiliates may not issue any press release with respect to these Terms and Conditions or their participation in the Program without the express written consent of Well.ca. Affiliates may only promote Well.ca on web pages/sites/properties that are owned or operated by the affiliate. Affiliates may not place links/tracking codes in or on third party: forums, message boards, blog comment areas, classified advertisement services (such as CraigsList.org), etc., unless given permission from the third party to do so. Affiliates will place or use qualified links only with the intention of delivering valid sales. Affiliates shall not, nor should they knowingly permit any person to activate a qualifying link or inflate the amount of any sought-after or resulting tracked activities through any method or technology that does not actually deliver an end user to the destination site associated with such qualifying link. Well.ca forbids the use of misleading links. Unauthorized use of Well.ca's website which is not in accordance with these Terms and Conditions may give rise to a claim for damages against the offending Affiliate. 6. Marketing Well.ca encourages affiliates to use Search Engine Marketing (both paid and natural) in their promotional campaigns. However, Well.ca prohibits all affiliates from bidding on the Well.ca brand name or misspellings for search engine positioning. This notification applies to, but is not limited to, Well.ca trademarks and brand names, including variations. Affiliates agree not to use the Well.ca brand name in the display URL or display copy in search engines. Affiliates who promote Well.ca via e-mail must adhere to all applicable legislation and regulations governing e-mail marketing in the jurisdictions that the affiliate targets. All affiliates must also adhere to the Canadian Fighting Internet and Wireless Spam Act, Bill C-28. 7. Limited License The Well.ca website contains material which is owned by or licensed to us. This material includes, but is not limited to, the design, layout, look, appearance, graphic images and text. We reserve all of our rights in the graphic images and text, any other images, our trade names and trademarks, and all other intellectual property rights. Well.ca grants you a non-exclusive, non-transferable, revocable right to use the link(s) and any graphic image and text necessary to establish a link to the Well.ca site from your site and such other images for which we grant express permission, solely for the purpose of identifying your site as an affiliate and to assist in generating sales. We may revoke your license at any time by providing written notice. 8. Relationship of Parties You are an independent contractor, and nothing in these Terms and Conditions will create any partnership, joint venture, agency, franchise, sales representative, or employment or similar relationship between you and Well.ca. You will have no authority to make or accept any offers or representations on behalf of Well.ca. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this section. We may identify you or your site as a participant in the Program without providing you prior notice or obtaining your specific written consent. Such identification may be oral, written, or electronic, and may include, but is not limited to, public announcements, promotional materials, internal and external reports, and public filings. With the exception of identifying yourself as an affiliate of our site, you shall not create, publish, distribute, or permit any written material that makes reference to us without first submitting such material to us and receiving our prior written consent. You hereby consent to us (i) sending you emails relating to the program from time to time; (ii) monitoring, recording, using, and disclosing information about your site and visitors to your site that we obtain in connection with your display of affiliate links (e.g., that a particular Well.ca customer clicked through an affiliate link from your site before buying a product on Well.ca); and (iii) monitoring, crawling, and otherwise investigating your site to verify compliance with these Terms and Conditions. 9. Responsibility for Your Site You will be solely responsible for the development, operation, and maintenance of your site and for all materials that appear on your site. You hereby agree that your site will not, in any way, copy or resemble the look and feel of our site, nor will you create the impression that your site is our site or is part of our site, nor will you frame any page on our site being viewed by a user of your site who links to our site through a link. Additionally, you agree that you will not create an integrated shopping cart between our site and your site without first submitting such material to us and receiving our prior written consent. 10. Modification We may modify any of the terms and conditions contained in these Terms and Conditions at any time and in our sole discretion by posting a change notice or revised Terms and Conditions on the Well.ca site, or by communicating changes through oral, written, or electronic means. 11. Governing Law and Jurisdiction Any dispute arising out of this Program shall be subject to the laws of Ontario, Canada. Any legal action or proceeding relating to this Program shall be instituted in the competent court in Toronto, Ontario, Canada, and each party hereby submits to the personal jurisdiction of such courts. 12. Term and Termination You will be subject to these Terms and Conditions upon our acceptance of your program application, until the affiliation is terminated by either you or us. No termination of the affiliation will relieve either party of any liability for any breach of, or liability accruing under these Terms and Conditions prior to termination. 13. Limitation of Liability WE WILL NOT BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES (OR ANY LOSS OF REVENUE, PROFITS, OR DATA) ARISING IN CONNECTION WITH THESE TERMS AND CONDITIONS OR THE PROGRAM, INCLUDING, BUT NOT LIMITED TO, ACTIONS IN CONTRACT, WARRANTY, OR TORT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, OUR AGGREGATE LIABILITY ARISING WITH RESPECT TO THESE TERMS AND CONDITIONS AND THE PROGRAM WILL NOT EXCEED THE TOTAL MARKETING FEES PAID OR PAYABLE TO YOU UNDER THESE TERMS AND CONDITIONS. WE MAKE NO REPRESENTATION THAT THE OPERATION OF OUR SITE WILL BE UNINTERRUPTED OR ERROR-FREE, AND WE WILL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY INTERRUPTIONS OR ERRORS.
